CORPORATE UPDATES公 司 更 新 報 導  

Due to the recent fluctuation in the company's share price, management of Yangzijiang has received 

many inquiries in relation to the Group's operational measures from the investment community. To 

practice good corporate governance, the Board of Directors would like to make the following updates 

to the public investors: 

由 於 近 期 公 司 股 價 波 動 明 顯 ， 就 此 揚 子 江 管 理 層 收 到 諸 多 投 資 界 人 士 就 公 司 經 營 管 理 上 提 出 的 查 詢 ；  

為 了 保 持 良 好 的 公 司 治 理 ， 董 事 會 特 此 對 公 眾 投 資 者 作 以 下 更 新 報 告 ：  

1. Issuance of Convertible Bond 

Over the course of ordinary business, management of Yangzijiang has received many fund raising 

proposals, including those that target at reducing Group’s financing costs, currency risk management 

and further improvement of operational cashflow, from various banks and financial institutions. The 

Board has adopted a cautious approach in assessing and evaluating the Group's cashflow and its 

relevancy to share price movements. With reference to market sources that indicate possibility of 

Convertible Bond financing activities, the Board wishes to clarify that there is currently no immediate 

Convertible Bond financing plan in the pipeline. 

1. 可 轉 債 的 發 行  

在 日 常 經 營 管 理 過 程 中 ， 揚 子 江 管 理 層 收 到 諸 多 來 自 不 同 銀 行 和 金 融 機 構 就 減 低 集 團 融 資 成 本 ， 規 避 人  

民 幣 升 值 ， 增 加 集 團 營 運 現 金 流 的 可 轉 債 融 資 方 案 。 董 事 會 已 就 各 金 融 機 構 的 提 議 審 慎 的 權 衡 了 集 團 的  

現 金 流 及 公 司 股 價 的 表 現 ， 就 市 場 可 能 存 在 關 於 公 司 發 行 可 轉 債 的 傳 聞 ， 董 事 會 特 此 澄 清 ， 近 期 並 無 發  

行 可 轉 債 的 切 實 計 劃 。  

2. Exposure to European based customers 

The Board refers to the Business Times article “Yangzijiang falls on Europe, bulk carrier concerns” 

dated 18 July 2011and will like to clarify on the point mentioned within the article that stated over 70 

per cent of the Group’s revenue was exposed to European based customers. The market landscape 

has changed post financial crisis, this has given rise to new opportunities for Asian ship owners to 

build and expand their fleet. Hence, the Group has witnessed a diversification of its customers’ 

portfolio away from European based customers. Meanwhile, the existing European based customers 

are long-term customers that had withstood the crisis with strong financial standing and payment track 

record. 

2． 歐 洲 客 戶 的 影 響  

董 事 會 就 2011年 7月 18日 工 商 時 報 的 報 導 “歐 洲 客 戶 對 揚 子 江 的 影 響 ， 散 貨 船 的 擔 憂 ”中 提 及 集 團  

超 過 70％ 的 營 業 收 入 來 自 歐 洲 客 戶 做 以 下 澄 清 ； 市 場 環 境 在 金 融 危 機 後 已 發 生 變 化 ， 這 為 亞 洲 船 東 建  

立 和 擴 大 自 己 的 船 隊 帶 來 的 新 的 契 機 。 有 鑑 於 此 ， 集 團 現 已 擁 有 多 元 化 的 客 戶 來 源 ， 對 歐 洲 客 戶 訂 單 的  

依 賴 已 經 大 幅 度 減 低 。 與 此 同 時 ， 集 團 現 有 的 歐 洲 客 戶 均 為 集 團 的 長 期 客 戶 ， 不 但 承 受 住 了 危 機 考 驗 ，  

且 具 有 堅 固 的 財 務 實 力 及 良 好 的 交 船 付 款 記 錄 。  

3. Profit guidance for 1HFY2011 results ended 30 June 2011 

The Board wishes to update that the timely vessel delivery within 1H2011 has ensured that the Group 

is on schedule to meet its vessel delivery target of 65 in FY2011, compared with that of 50 in FY2010. 

Therefore, the Board of Directors is confident to deliver not less than 30% growth in net profit 

attributable to equity holders of the Company in the upcoming 1HFY2011 results announcement on 

11 August 2011. 

3. 2011財 年 上 半 年 盈 利 指 導  

董 事 會 謹 此 更 新 報 導 ， 集 團 在 2011年 上 半 年 如 期 交 付 船 舶 ， 以 保 證 2011年 65艘 船 舶 的 交 付 計 劃 的 順  

利 完 成 ， 相 比 較 2011年 交 船 計 劃 ， 集 團 於 2010年 度 交 付 船 舶 50艘 。 籍 此 董 事 局 就 集 團 上 半 年 歸 屬 公  

司 股 東 淨 利 較 去 年 同 期 增 長 不 低 於 30％ 深 具 信 心 ， 公 司 上 半 年 業 績 將 於 2011年 8月 11日 公 告 。  

4. Share Buy Back 

The Board wishes to reiterate that the Group has renewed its Share Purchase Mandate during the 

AGM held on 28 April 2011. If Yangzijiang’s share price continues to fall without fundamentals, the 

Board does not eliminate the possibility to exercise the Share Purchase Mandate to protect minority 

shareholders’ interest. 

4. 回 購 公 司 股 票  

董 事 會 謹 此 重 申 ， 集 團 已 在 2011年 4月 28日 舉 行 的 股 東 週 年 大 會 上 獲 得 股 東 對 購 回 公 司 股 票 的 授  

權 。 若 揚 子 江 的 股 價 在 沒 有 基 礎 的 情 況 下 持 續 下 跌 ， 董 事 會 將 不 排 除 行 使 購 回 股 票 授 權 的 可 能 ， 以 保 護  

小 股 東 的 利 益 。
