Singapore-based private investment holding company SEA9 Pte Ltd has proposed to purchase Kreuz Holdings at 80 cents a share. Swiber which owns 57.5% of Kreuz and another 16.19% of minority shareholders have given irrevocable undertaking to vote in favour of the deal, leaving only another 1.31% to put the deal through. If the deal succeeds, Swiber would make S$109 million exceptional gain and pocket S$256.2 million in proceeds for its 57.5% stake. This is significant compared to its yesterday's market cap of S$385 million.
Kreuz Holdings, whose net profit for 9M13 jumped 24% yoy, is now trading at $0.785.Vallianz, which Swiber also holds 28.88%,  is now trading up 10% to 7.2 cents . Recently on Oct 3, Vallianz has entered into a subscription agreement with Rawabi, a leading Saudi Arabian oil and gas service company, and an option agreement with existing shareholder Swiber. Under the subscription agreement, Rawabi will subscribe for redeemable convertible capital securities issued by Vallianz for a principal amount of US$35.2 million. Under the option agreement, Swiber will be issued an aggregate of 500,000,000 non-transferable share options, which could raise gross proceeds of S$27.5 million, assuming that all options are exercised. This option, which works out to be 5.5 cents per share, if exercised will increase Swiber's holding to approximately 49.9% of the enlarged issued share capital of Vallianz.
